其实，这是因为大陆和香港实施的是不同的管理条例，所以很多时候，大陆的公司文件无法直接在香港地区使用，同理，香港公司文件也是无法直接在大陆地区使用的，所以我们经常会被要求提供经公证的文件。
In fact, this is because the mainland and Hong Kong adopt different regulations. In many cases, documents issued in mainland cannot be used directly in Hong Kong. Similarly, those issued in Hong Kong cannot be used directly in mainland, so we are often asked to provide notarized documents.

Certificate of True Copy
香港会计师核证本是由执业会计师认证且承担法律责任的文件，又称为CTC（Certificate of True Copy），CPA（Certified Practicing Accountant）。
The Certificate of True Copy (CTC) is documents certified by acertified public accountant, also known as CPA (Certified Practicing Accountant). The accountant bears legal responsibility for the documents.
执业会计师到香港注册署和香港税务局等部门核实所委托的公司注册成立文件是否一致，核实后在所委托文件的复印件上盖章签字，证明文件与香港注册署文件一致。
The accountant should go to the Companies Registry or the Hong Kong Inland Revenue Department or other departments to verify whether incorporation documents of the entrusted company are true and valid. After verification, the accountant should stamp and sign on the copy of the verified document, and certify its validity and credibility.
盖章一般含有认证日期，会计师名字，会计师编号等相关信息。
The stamp generally contains the date of certification, accountant name, accountant number and other relevant infos.

香港律师公证是指由香港律师（也称为中国委托公证人）出具的，并加盖中华人民共和国司法部转递专用章的公证文书。凡是香港文书要在大陆使用，都是要委托向香港律师进行公证，出具公证说明书，再加盖转递章。
Notarization by a HK lawyer refers to a notarized document issued bya Hong Kong lawyer(also known as a China-appointed notary public) and stamped with the special stamp of the Ministry of Justice of the People’s Republic of China. Any HK documents that are to be used in the mainland must be entrusted to a Hong Kong lawyer to notify, and issue a notarized statement.

比如说你要以香港公司的名义去投资新设一个大陆公司，或香港公司要在大陆设址，其中涉及到的文件就需要进行香港律师公证。
For example, if you want to invest in a new mainland company in the name of a HK company, or if a HK company wants to set up an address in the mainland, then the documents involved need to be notarized by a HK lawyer.

总的来说，如果与银行业务有关的，一般要求提供香港会计师核证本；如果是有关大陆政府部门业务，一般是律师公证。但需要什么认证文件是由用证部门决定，我们只能按要求准备，所以如有不清楚，记得咨询用证部门，不要徒做无用功。
In general, if it is related to banking business, CPA or CTC should be your choice; if it is related to the business involving the mainland government, it generally requires a lawyer’s notarization. However, the required notarized documents are determined by the department, and you have no way to decide it, so if you are not sure what kind of documents are needed, remember to consult the department.
